Terms of Use

1. Agreement to these terms

These Terms of Use (“Terms”) govern access to and use of the Arkyvus website, applications, and services (the “Service”) operated by Arkyvus LLC (“Arkyvus,” “we,” “us,” or “our”). By accessing or using the Service, requesting a working session, or creating an account, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

If you do not agree, do not use the Service.

2. The Service

Arkyvus is a human-first brand enforcement and marketing operations platform. Features may include brand kits and guidelines, AI-assisted validation and scoring, multi-party review and approval workflows, campaign and asset coordination, analytics, and related tooling. Feature availability depends on your plan, role, and configuration. We may modify, add, or discontinue features with reasonable notice when practical.

AI features assist human operators. They do not replace human judgment, legal review, or final creative authority. “AI assists. Humans decide.”

3. Accounts and access

You agree to:

  • Provide accurate registration and contact information
  • Maintain the confidentiality of credentials and restrict account access to authorized people
  • Notify us promptly of suspected unauthorized use
  • Accept responsibility for activity under your accounts and workspace seats you control

Organization administrators are responsible for inviting users, assigning roles, and managing client or brand-kit scope within their tenant.

4. Acceptable use

You will not, and will not permit others to:

  • Use the Service for unlawful, harmful, defamatory, harassing, or fraudulent purposes
  • Upload content you do not have rights to use, or that infringes third-party rights
  • Attempt to bypass security, multi-tenant isolation, or access controls
  • Probe, scan, or stress the Service except with our prior written permission
  • Reverse engineer, scrape, or resell the Service except as allowed by law or a written agreement
  • Interfere with other customers’ use of the Service
  • Misrepresent AI-generated or AI-assisted outputs as fully human-authored professional legal or compliance advice

5. Customer content and intellectual property

Your content. You and your organization retain ownership of content you submit to the Service (“Customer Content”). You grant Arkyvus a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and create derivative technical representations (such as embeddings or previews) of Customer Content solely to provide and improve the Service for you.

Our IP. The Service, software, designs, documentation, trademarks (including “Arkyvus” and related marks), and underlying models and systems remain the exclusive property of Arkyvus LLC and its licensors. These Terms do not transfer ownership of our intellectual property to you.

6. AI, scoring, and human responsibility

Scores, recommendations, and other AI-assisted outputs are probabilistic tools. You are responsible for reviewing outputs before publication or external use. Arkyvus does not warrant that any score or suggestion constitutes legal, regulatory, or brand counsel. You remain solely responsible for final decisions and for content you publish.

7. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated by reference. Where Customer Content includes personal data of third parties, you represent that you have a lawful basis to process that data in the Service.

8. Plans, fees, and taxes

Paid features require a subscription or other commercial agreement. You agree to pay fees when due. Unless otherwise stated in an order form, subscriptions renew automatically until canceled, and fees are non-refundable except as required by law or expressly stated in writing. We may change prices with notice for subsequent renewal periods. You are responsible for applicable taxes.

9. Third-party services

The Service may integrate with third-party tools (identity providers, cloud storage, AI providers, payment processors, and similar). Your use of those services may be subject to their terms. We are not responsible for third-party services we do not control.

10. Confidentiality

Each party may receive non-public information from the other. The receiving party will use that information only to perform under these Terms and will protect it with reasonable care. Confidentiality obligations do not apply to information that is public, independently developed, or rightfully received from a third party without duty of confidentiality.

11. Suspension and termination

We may suspend or terminate access for material breach, non-payment, legal risk, or threats to the security or integrity of the Service. You may stop using the Service and, where applicable, cancel according to your plan terms. Upon termination, your right to use the Service ends. Provisions that by nature should survive (including ownership, disclaimers, limitations of liability, and indemnity) will survive.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARKYVUS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-ASSISTED OUTPUTS WILL BE COMPLETE OR ACCURATE.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARKYVUS LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ALL CLAIMS IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS YOU PAID TO ARKYVUS FOR THE SERVICE IN THAT PERIOD (OR ONE HUNDRED U.S. DOLLARS IF YOU HAVE NOT PAID FEES).

14. Indemnity

You will defend and indemnify Arkyvus against claims arising from your Customer Content, your misuse of the Service, or your violation of these Terms or applicable law, except to the extent caused by our willful misconduct.

15. Changes to the Terms

We may update these Terms by posting a revised version on this page and updating the “Last updated” date. Material changes will be communicated by reasonable means (such as email or in-product notice) when practical. Continued use after the effective date constitutes acceptance of the revised Terms where permitted by law.

16. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules, unless a mandatory consumer protection law in your jurisdiction requires otherwise. Courts located in Delaware will have exclusive jurisdiction, subject to any non-waivable local rights.
